This MEMBERSHIP AGREEMENT (“Agreement”) effective on today's day, by and between Teed Up LLC (“Club”) located at 1605 North Lake Dr, Lexington, SC 29072, and Member listed above (“Member”). The Club contains sports bays, putting areas, storage areas, restrooms, and food and beverage facilities.

Member wishes to acquire and Club desires to grant to Member a non-exclusive license to use all or a portion of the Club Facilities as a member of the Club upon payment of such membership fees as Club Operator may establish from time to time. Such license shall be subject to the terms and conditions set forth in this Agreement and Club Policies, as in effect which are subject to change from time to time (“Membership Policies”).

In consideration of the mutual covenants set forth in this Agreement, the Club hereby grants to Member, and Member hereby accepts from Club, membership in the Club on the following terms and conditions:

I. Membership Level. Membership includes a license to use all or a portion of the Club Facilities in accordance with the privileges of Member’s specific Membership Level as set forth in Exhibit A.

II. Term. All Memberships shall commence on the Effective Date as stated above and shall continue in effect for one (1) year (“Initial Term”) and shall be automatically renewed each year thereafter (“Renewal Term”) until terminated by either party in accordance with the terms set forth in this Agreement.

III. Membership Fees. Membership Fees may be Paid-In-Full on the Effective Date, or Member may elect to have Membership Fees automatically charged on that effective date of each month to their credit card on file for the duration of their membership. See also Exhibit A.

IV. Credit Card on File. Member shall have a credit card on file with the Club and Member agrees to allow Club to automatically charge the credit card on file for Membership Fees, unpaid charges made by or damages incurred from or by Member and/or Member’s Authorized Users and Guests.

Member shall keep a current, working credit card on file with the Club and will update Club as

necessary from time to time to ensure a valid credit card is on file at all times.

V. Failure to Pay. Member understands that delinquency in paying any amounts due may result in late charges, interest on the amount past due until paid at a rate determined by Club (not to exceed 18% per annum), Club charging all amounts due to the Club to Member’s credit card that may be on file with the Club, suspension or termination of membership privileges, and expulsion from membership in the Club. Member further agrees that if Member is delinquent in paying any amounts due, Club shall be entitled to recover from Member late charges, interest and all costs and expenses which Club reasonably incurs in attempting to collect the past due amounts, including, without limitation, attorney’s fees and court costs, whether or not suit is filed.

VI. Authorized Users and Guests. Member is responsible for all charges incurred by Member, Member’s authorized users, and/or guests in their use of Club Facilities. Member understands and agrees that all guests shall be accompanied by the Member at all times and shall pay the appropriate guest fees where applicable.

VII. Assumption of Risks and Indemnification. In consideration of the Membership and as a condition of using the Club Facilities, Member agrees to all risks associated with the use of Club Facilities, including risks associated with use of or proximity to the sports bays (i.e.: being hit by a golf ball or other piece of equipment). Member agrees to release and indemnify Club, its directors, officers, shareholders, partners, members, agents, related companies, affiliates, predecessors, successors, assigns and employees, and all persons, corporations, partnerships, and other entities with which they are or may in the future become affiliated, from and against any and all losses expenses, liens, claims, demands, and causes of action of every kind and character for death, personal injury, property damage, and other liability, damages, fines, or penalties, including but not without limitation, costs, attorney fees and settlements, whether or not based on the acts or omissions of Club, resulting from, or arising out of or in any way connected to the use of the Club Facilities by Member, Member’s Family members, Authorized Users, guests, and approved designees.

VIII. General Limitations. Member, as a condition of the membership, and each Member’s authorized users and guests, as a condition of the invitation to use the Club Facilities, assume sole responsibility for their personal property in Club Facilities. Member acknowledges and understands that the Club shall not be held responsible for any loss or damage to any personal property which Member, authorized users, guests, or approved designees may cause.

IX. Events or Activity with 8+ People. All Events hosted by Member consisting of 8 or more persons should be submitted to the Events Team within a reasonable time for approval to allow for proper staffing and for us to meet Member’s catering desires. If Member arranges or sponsors an activity or function on the Club premises and/or utilizes Club Facilities, Member shall be responsible for any such damage or injury even if such damage or injury was not caused by Member. The Club reserves the right to host special events and golf tournaments. Such events may partially or completely restrict the availability of golf course starting times and any or all Club Facilities. The Club shall have no liability for the temporary suspension of any privilege due to maintenance, repair, construction, improvements, acts of God, inclement weather, utility disruptions, or any and all other matters beyond the control of the Club.

X. Tee Time. We request all Tee Times be reserved prior to the desired Tee Time. Reservations may be made online. If you do not have a Tee Time reservation, we cannot guarantee a bay will be open your use at the desired time.

XI. Transfers. Membership privileges are personal to the Member and may not be sold, transferred, or otherwise assigned in any manner. The management of the Club may revoke any membership without notice if a member violates any terms of the membership plan, general policies of the Club and/or Club Rules, as the same may be hereafter modified. No portion of any fees paid is refundable upon revocation. Club Policies and Rules may change from time to time at the discretion of the Club. All memberships expire as of the end of their stated term and the Club is not obligated to continue any membership programs beyond such stated term.

XII. No Vested Interest. Member acknowledges that in acquiring a membership, Member acquires only a non-exclusive license to use all or a portion of the Club Facilities, in accordance with this Agreement and the Membership Policies and in common with such other persons, including, without limitation, the general public, as Club may authorize from time to time. Member acknowledges that there shall be use of the Club Facilities by persons other than members.

XIII. Termination. Member may terminate this agreement after providing 30 days written notice to Club. All Memberships are for an Initial Term of one (1) year. Where Membership Fees have been paid In Full, no refund will be provided to the Member under any circumstances, including where Member elects to terminate Membership prior to the end of the Initial Term. Members paying a monthly Membership Fee shall pay a Termination Fee totaling two months’ worth of their Membership Fee for whichever Membership Level they have at the time of Termination. Member shall still be liable for any unpaid charges due to the Club upon Termination. The Club will not, for any reason, provide any refunds from prior payments made to Club upon termination of membership.

XIV. Survival. This Agreement and its terms shall survive the termination of the Agreement and

Member’s membership in the Club with respect to any property damage, personal injury or death

occurring prior to such termination.

MEMBERSHIP PAYMENT AND GENERAL INFORMATION

• All Memberships are for a term of 12 months. All Guests must be accompanied by a Member.

• Membership Fees will be automatically charged each month to Member’s credit card on file.
